Notifications of Transactions of Directors, Persons Discharging Managerial Responsibility or Connected Persons
Name of Director/ PDMR or connected persons: Duncan Magrath, Stephen Hodkinson, Neil Rogers, Ralf Hellwig, Julien Monteiro, Richard Huxley, Nigel Trend, Philippe Hervieux, Nigel Duke and Carl Friedrich Wayand
On 23 November 2016, the Boards of AI Robin Limited ("Bidco") and Brammer announced that they had reached agreement on the terms of a recommended offer to be made by Bidco for the entire issued and to be issued share capital of Brammer (the "Offer"). The full terms and conditions of the Offer are set out in the scheme document which was published on 12 December 2016 (the "Scheme Document").
Earlier today the High Court of Justice in England and Wales sanctioned the Scheme at the Court Hearing, and the Effective Date of the Scheme is expected to be on 6 February 2017.
Brammer announces that on 2 February 2017 the persons set out in the table below, each being a Person Discharging Managerial Responsibility (a "PDMR"), acquired the beneficial title to ordinary shares of nominal value 20 pence each in the capital of Brammer (the "Shares") pursuant to:
1. the Brammer Performance Share Plan 2012; and
2. the Brammer Share Matching Plan 2005,
(together the "Brammer Share Plans").
The number of Shares to which PDMRs acquired beneficial title under the terms of the Brammer Share Plans is as follows:
