£250,000,000 1.625 per cent. Secured Sustainability Notes due 2036 (the Bonds)

Notice is hereby given to the holders of the Bonds that the Stonewater Group is in discussions with Greenoak Housing Association Limited (Greenoak), a community benefit society with registered number 20859R and a registered provider of social housing with registration number L1393.

The current intention, subject to, amongst other things, completion of due diligence and funder consents, is for Greenoak to join the Stonewater Group as a direct subsidiary of Stonewater (5) Limited on or prior to 31 March 2023.

Greenoak is a charitable housing association that owns and/or manages around 550 affordable homes across Surrey and East and West Sussex.

Stonewater Limited will remain the parent of the Stonewater Group.
