Recommended Cash Offer by Bordeaux UK Holdings II Limited for the entire issued share capital of EMIS Group plc (the "Offer")Partial Withdrawal of Letter of Intent: Octopus Investments Ltd ("Octopus")

On 17 June 2022, Octopus provided a Letter of Intent regarding its intentions in relation to 6,025,532 ordinary shares in EMIS Group plc ("Shares"), in connection with the Offer.

In accordance with Rule 2.10(c)(ii) of The City Code on Takeovers and Mergers, we advise that, as at 3.30 p.m. on 27 June 2022, Octopus had disposed of 6,139 Shares and is therefore no longer in a position to vote or procure the voting of the disposed Shares in favour of the Offer.

Octopus's intention in respect of 6,019,393 Shares (being its ownership of Shares as at 3.30 p.m. on 27 June 2022) remains as described in its Letter of Intent.
