Paradigm Homes Charitable Housing Association Limited (the Issuer)

£300,000,000 5.25 per cent. Secured Sustainability Bonds due 2044; and

£350,000,000 2.25 per cent. Secured Bonds due 2051

(the Bonds)

The boards of Paradigm Housing Group Limited (Paradigm) and Settle Group (Settle) have agreed to enter into discussions with a view to forming a legal partnership.

The decision was agreed by their respective boards this week. The target date for entering into a partnership is October 2025. The partnership will be subject to further approval by both boards and the relevant shareholders.

Paradigm Housing Group is a housing association with almost 17,000 homes in Buckinghamshire, Bedfordshire and Hertfordshire. Settle Group is a housing association with over 10,000 homes across Hertfordshire, Bedfordshire, Buckinghamshire and South Cambridgeshire.

The proposed merger accompanies the announcement today that Paradigm Homes Charitable Housing Association intends to acquire nearly 3,500 homes from L&Q. Paradigm and Settle are proposing to join together to form a new organisation which would own and manage 30,000 homes, mainly in Buckinghamshire, Hertfordshire and Bedfordshire.

The partnership will be subject to registration by the Financial Conduct Authority.

Paradigm is registered as a charitable community benefit society under the Co-operative and Community Benefit Society Act 2014 with registered number 28844R and as a registered provider with the Social Housing Regulator with registered number L4215.

The Issuer is registered as a charitable community benefit society under the Co-operative and Community Benefit Society Act 2014 with registered number 27789R and as a registered provider with the Social Housing Regulator with registered number LH4138.

Settle is registered as a charitable community benefit society under the Co-operative and Community Benefit Society Act 2014 with registered number 30003R and as a registered provider with the Social Housing Regulator with registered number L4370.
