Proven VCT PLC15 November 2006 ProVen VCT plc15 November 2006Offers for Subscription ProVen VCT plc announces that it has published a Prospectus (comprising aSecurities Note, Registration Document and Summary) to raise up to £15m throughoffers for subscription (the "Offers"). The Offers opened on 14 November 2006 and are expected to close on 5 April 2007in relation to the offer for subscription in respect of the 2006/2007 tax yearand on 31 May 2007 in relation to the offer for subscription in respect of the2007/2008 tax year (or an earlier date on which fully subscribed). The Offersare for up to 15,000,000 'C' Shares of 25 pence each, to be issued at a price of£1.00 each. Existing shareholders of ProVen VCT plc and ProVen Growth & Income VCT plc arebeing offered the chance to reinvest the special dividends of 31p and 50p to bepaid by these companies respectively on 7 December 2006. Applications from suchshareholders received up to 5.00 p.m. on 28 November 2006 will be issued 4.5 percent. additional 'C' Shares. Other applications received up to 5.00 pm on 29December 2006 will be issued 1 per cent. additional 'C' Shares.
