Mears Group PLC ("Mears" or the "Company") Compulsory Acquisition of Shares in Careforce Group plc ("Careforce") On 5 March 2007, the boards of Mears and Careforce announced that they hadreached agreement on the terms of a recommended offer to be made by Mears forthe entire issued and to be issued share capital of Careforce ("Offer"). The Offer was declared wholly unconditional on 4 April 2007 and Mears now owns,or has received valid acceptances in respect of, more than 90 per cent. of theCareforce Shares to which the Offer relates.
