Cape PLC22 November 2007 Cape PLC ('Cape' or the 'Company') CAPE PLC RECOMMENDED ALL CASH OFFER FOR PCH GROUP LIMITED - OFFER UPDATE 22 November 2007 Following the announcement on 16 October 2007 of Cape's revised, recommendedoffer for PCH (the "Revised Offer"), Cape gives notice that its subsidiary, CapeAustralia Investments Pty Limited ("Cape Australia"), has received acceptancesfrom PCH Shareholders comprising 54.41% of the issued share capital of PCH as atthe close of business on 21 November 2007. As such, Cape Australia has today extended the offer period by three weeks,until 5pm Perth time on 20 December 2007 (the "Offer Period"), in order tosatisfy the remaining conditions to the Revised Offer, including the minimumacceptance condition, which requires Cape Australia to hold a relevant interestin at least 90% of PCH Shares at or before the end of the Offer Period. As a majority of PCH shareholders by number of shares, including all PCHDirectors, have accepted the Revised Offer, the Boards of PCH and Cape urge PCHshareholders to accept the Revised Offer to enable the Revised Offer to bedeclared unconditional and payment made to all accepting PCH shareholders. Under Australian regulations, based on the Offer Period closing on 20 DecemberCape is required to provide an update on the status of the conditions pertainingto the Revised Offer, unless the Revised Offer is extended again, by 13 December2007.
