RECOMMENDED FINAL* CASH ACQUISITION

UPDATE ON CONDITIONS, EXPECTED SCHEME TIMETABLE AND BIDCO'S BOARD OF DIRECTORS

On 9 August 2024, the HL Independent Directors and the board of directors of Bidco announced that they had reached agreement on the terms and conditions of a recommended final* cash acquisition of the entire issued and to be issued ordinary share capital of HL by Bidco (the "Acquisition"). The Acquisition is to be implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").

The scheme document in relation to the Scheme was published on 6 September 2024 (the "Scheme Document"). Capitalised terms used but not defined in this announcement have the meanings given to them in the Scheme Document.

As announced on 14 October 2024, the Scheme was approved by the requisite majority of Scheme Shareholders at the Court Meeting held on 14 October 2024 and the Special Resolution relating to the implementation of the Scheme was approved by the requisite majority of HL Shareholders at the General Meeting also held on 14 October 2024.

Satisfaction of antitrust and regulatory Conditions

On 27 February 2025, the FCA gave written notice approving each acquisition of control in respect of a UK authorised person contemplated by the Acquisition. As a result, Condition 3.6 of Part A of Part III of the Scheme Document is satisfied. Accordingly, and further to Bidco's earlier announcements in relation to Conditions 3.1 to 3.5 of Part A of Part III of the Scheme Document, all of the Conditions to the Acquisition relating to antitrust and regulatory approvals as set out in paragraphs 3.1 to 3.6 of Part A of Part III of the Scheme Document have now been satisfied.

Completion of the Acquisition remains subject to the Court sanctioning the Scheme at the Court Hearing, delivery of a copy of the Court Order to the Registrar of Companies and the satisfaction (or, where applicable, waiver) of the remaining Conditions set out in Part III of the Scheme Document.

Next steps and expected timetable

HL and Bidco are pleased to confirm that the Court Hearing to sanction the Scheme is scheduled to be held on 18 March 2025. Further details of the Court Hearing will be available on the Business and Property Courts Rolls Building Cause List at www.justice.gov.uk on the day before the Court Hearing.

An updated expected timetable of principal events for the implementation of the Scheme is set out in the Appendix to this announcement. On the basis of the current expected timetable, the Scheme is expected to become Effective on 24 March 2025. The last day of dealings in, and for registration of transfers of, HL Shares is therefore expected to be 21 March 2025, with all dealings in HL Shares being suspended at 7.30 a.m. on 24 March 2025. It is also expected that the listing of HL Shares on the Official List and admission to trading of HL Shares on the main market of the London Stock Exchange will each be cancelled with effect from 8.00 a.m. on 25 March 2025.

The dates and times in the expected timetable (including as repeated in the rest of this announcement) are indicative only, are based on HL and Bidco's current expectations and are subject to change. The dates will depend, among other things, on the date on which: (i) the Conditions are satisfied or (if capable of waiver) waived; (ii) the Court sanctions the Scheme; and (iii) the Court Order sanctioning the Scheme is delivered to the Registrar of Companies. If any of the dates and/or times in the expected timetable change, the revised dates and/or times will be notified to HL Shareholders by announcement through a Regulatory Information Services, with such announcement being made available on HL's website at www.hl.co.uk/investor-relations.

Elections for the Alternative Offer

As a result of the latest timetable, and in accordance with the provisions of the Scheme, the Election Return Time for the Alternative Offer has been set at 1.00 p.m. on 17 March 2025, being the Business Day prior to the Court Hearing.

Following this announcement, Euroclear will be instructed to set up an appropriate event in CREST. Once the event has been set up in CREST, eligible HL Shareholders who hold HL Shares in uncertificated form and wish to elect for the Alternative Offer will be able to do so electronically by submitting (or procuring the submission of) appropriate TTE Instructions in accordance with the procedure set out in Part VI of the Scheme Document. Eligible HL Shareholders who hold HL Shares in certificated form and wish to elect for the Alternative Offer should complete and return the Form of Election in accordance with the procedure set out in Part VI of the Scheme Document. The attention of eligible HL Shareholders who wish to elect for the Alternative Offer is drawn to the full terms and conditions of the Alternative Offer set out in the Scheme Document, including the requirement to provide KYC Information to Equiniti (acting on behalf of Bidco) in a form satisfactory to Bidco prior to the Election Return Time.

Shareholders who wish to receive the Cash Consideration for all the Scheme Shares that they hold at the Scheme Record Time (i.e. who do not wish to make an election under the Alternative Offer) should not return the Form of Election or make a TTE Instruction.

Update on HL Executive Directors' interests

HL and Bidco are pleased to provide further clarity on the approach taken in respect of the HL Share Plans (set out in Section 8 of Part II of the Scheme Document), specifically the Replacement Share Awards. This will have an impact on the HL Executive Directors' interests, as set out below.

The Scheme Document states that options under the PSP, SPP, SPP II and DPBP held by participants classed as "material risk takers" for regulatory purposes will become Replacement Share Awards. HL and Bidco would like to clarify that existing options held by "material risk takers" under the PSP, SPP, SPP II and DPBP will only become Replacement Share Awards where the relevant options are required to remain subject to continued deferral pursuant to mandatory regulatory requirements. However, those ongoing mandatory regulatory requirements do not require continued deferral in respect of certain options held by "material risk takers" under the SPP, SPP II and DPBP, and therefore those options (i.e. those which are not subject to mandatory deferral pursuant to regulatory requirements) will vest and become exercisable prior to the Scheme Record Time in the same way as for options held by individuals who are not "material risk takers" (as explained in detail in Section 8 of Part II of the Scheme Document). This includes all or part of the following options granted to the HL Executive Directors under the HL Share Plans:

· SPP options granted to Dan Olley in 2023;

· DPBP options granted to Dan Olley in 2024; and 

· DPBP options granted to Amy Stirling in 2022, 2023, and 2024.

The Scheme Document also states that the Replacement Share Awards will be "over instruments (the precise form of which is to be agreed) where 50% (or such greater percentage as may be permitted by the relevant regulatory requirements) of the relevant eligible instruments will deliver a fixed return and the balance will be a cash-settled equity-linked instrument". Following the FCA indicating that, in respect of awards granted prior to the Effective Date, it is minded to grant a waiver to the requirement for awards to be settled with an equity-linked instrument, HL and Bidco have agreed that the replacement instruments for the options that will "rollover" will be a phantom unit that will deliver a fixed cash return equal to the value of the Cash Consideration.

Update on HL Non-Executive Directors' interests

Bidco is pleased to announce that, following discussions with Bidco, John Troiano is expected to be appointed to the Bidco Board, with effect from the Effective Date. Further details of the composition of the Bidco Board will be announced in due course.

* The financial terms of the Cash Offer and the Alternative Offer are final and will not be increased or improved, except that Bidco reserves the right to increase the amount of the Cash Consideration and improve the financial terms of the Alternative Offer if there is an announcement on or after the date of the Rule 2.7 Announcement of an offer or a possible offer for HL by a third party offeror or potential offeror. Bidco reserves the right to elect to implement the Acquisition by way of an Offer as an alternative to the Scheme (with the consent of the Panel (where necessary) and subject to the terms of the Cooperation Agreement (if applicable)).

Notice to US HL Shareholders

The Acquisition relates to the shares of an English company with shares admitted to trading on the London Stock Exchange and is being made by means of a scheme of arrangement provided for under English law. A transaction implemented by means of a scheme of arrangement is not subject to the tender offer or proxy solicitation rules under the US Exchange Act. Accordingly, the Scheme is subject to the disclosure requirements and practices applicable in the UK to takeover offers and schemes of arrangement which differ from the disclosure requirements of the US tender offer and proxy solicitation rules. Any information about such purchases or arrangements to purchase will be disclosed as required in the UK, will be reported to a Regulatory Information Service and will be available on the London Stock Exchange website, www.londonstockexchange.com.

US HL Shareholders also should be aware that the Acquisition may have tax consequences in the US and that such consequences, if any, are not described in this announcement or the Scheme Document. US HL Shareholders are urged to consult with appropriate legal, tax and financial advisers in connection with the tax impact of the Acquisition on them.

The Loan Notes and, subject to the implementation of the Rollover, the Rollover Securities to be issued under the Alternative Offer will not be registered under the US Securities Act or under relevant securities laws of any state or territory or other jurisdiction of the United States. The Topco Group expects to issue the Loan Notes and, subject to implementation of the Rollover, the Rollover Securities in reliance upon the exemption from the registration requirements under the US Securities Act provided by Section 3(a)(10) thereof. If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3.
