Petersfield Asset Management Limited's potential offer for Bramdean Alternatives Limited - talks terminated
Petersfield Asset Management Limited ("Petersfield") today announced that it has terminated offer discussions with Bramdean Alternatives Limited (the "Company"). The Company announced on 30 April 2009 that it had received an approach to acquire the entire issued share capital of the Company.
Petersfield is an investment vehicle which was set up by fund manager Nicola Horlick, and chaired by Tony Caplin, in response to indications from several major shareholders of the Company that they would favour a realisation of the Company's assets as quickly as possible.
After discussions with the Company's major shareholders, Petersfield has concluded that a majority of the Company's shareholders wish for the Company to continue with its current strategy of investing in long-term alternative assets. Petersfield has therefore withdrawn from any discussions with the Company.
For the purposes of Rule 2.8 of the Takeover Code, Petersfield reserves the right (on behalf of itself and anyone acting in concert with Petersfield) to announce an offer or possible offer for the Company and/or take any other action which would otherwise be restricted under Rule 2.8 of the Takeover Code within the next six months in the event that:
(i) the agreement or recommendation of the board of the Company is given to the making of such an announcement or the taking of any such other action; or
(ii) a third party announces an offer or a possible offer for the Company; or
(iii) any announcement is made by or on behalf of the Company that it is in discussions which may or may not lead to an offer (or partial offer); or
(iv) the Company announces a "whitewash proposal" or a "reverse takeover" (each as defined in the City Code); or
(v) there is a material change of circumstances.
