Sinclair Pharma plc Offer talks terminated30 September, 2008

As announced on 7th August, 2008, Sinclair Pharma PLC ("the Company") received an approach from a third party with a view to making an offer for the Company. During recent weeks, the Board of the Company has held discussions with that third party. These discussions culminated in the Board receiving an outline proposal in relation to a possible offer for the Company which the Board does not consider to be acceptable. The Board has therefore terminated these discussions.

However, the Board continues to actively pursue the strategic opportunity which was also referred to in the announcement of 7th August, 2008. A further announcement on this strategic opportunity will be made in due course as and when necessary.

The Preliminary results for the year ended 30 June, 2008 will be announced tomorrow 1st October, 2008.
