As afirst step, Tesco Holdings has contracted to acquire and has options to acquirea 22.6 per cent. stake in Dobbies and has received irrevocable commitments overa further 2.7 per cent. Commenting on the Offer, Sir Terry Leahy, Chief Executive of Tesco, said: "This is an exciting opportunity for Tesco. Dobbies is an excellent businesswith a first-class management team and a great brand that we will retain anddevelop from its Scottish base. The brand name is strong and alreadywell-respected in the local communities in which Dobbies operates. Theincreasing popularity of gardening, and in particular the trend towardsenvironmentally friendly products, makes this an attractive sector for Tesco toinvest in. The deal is an important part of our strategy to provide customerswith greater access to affordable energy saving and environmental products. "Garden centres are ideally placed to support this because for many peoplegardening is the way they express their desire to be green. By offering productssuch as water butts, composting kits and organic fertilizers, garden centres canmeet this increasing demand. Tesco Holdings has acquired an interest in approximately 22.60 per cent. ofDobbies' existing share capital, comprising approximately 6.16 per cent. of Dobbies' existing share capital which it has contracted to acquire andapproximately 16.44 per cent. of Dobbies' existing share capital over which it has a call option (the exercise of which is subject to certain conditions). Tesco Holdings has received irrevocable undertakings to accept the Offer(including from the Directors of Dobbies) in respect of the shares over which it has a call option as referred to above and, in addition, has receivedirrevocable undertakings to accept the Offer in respect of a further 2.70 percent. of Dobbies' existing share capital. In all cases these undertakings will cease to be binding only if the Offer lapses or is withdrawn and will remain binding in the event that a higher competing offer for Dobbies is made. It is also the world's biggeston-line grocer with its Tesco.com business achieving sales of more than £1billion. Tesco Direct, a new non-food home shopping service, was also launchedrecently. Headquartered in Midlothian, Dobbies is one of the UK's leading garden centreretailers with 21 predominantly freehold stores mainly located across Scotlandand Northern England and over 1,500 employees across the UK. 2. Disclosure of interests in Dobbies relevant securities As at the date of this announcement Tesco Holdings has acquired an interest in2,266,592 Dobbies Shares representing approximately 22.60 per cent. of itsexisting share capital. This interest is comprised of 617,626 Dobbies Shares which it has contracted toacquire conditionally only upon the making of this announcement (representingapproximately 6.16 per cent. of the existing issued share capital) and 1,648,966Dobbies Shares (representing approximately 16.44 per cent. of the existingissued share capital) over which it has a call option. Under the call option,subject to the satisfaction of certain conditions (including competitionclearance), Tesco Holdings has the right to require the holders of such shareswhich are the subject of the undertakings referred to in paragraph 4(b) below tosell to Tesco Holdings any or all of such shares at the price per Dobbies Shareunder the Offer (or, if such price per share is increased, such revised priceper share). Irrevocable undertakings (a) Total irrevocable undertakings In total, Tesco Holdings has received irrevocable undertakings to accept theOffer in respect of 1,919,757 Dobbies Shares representing approximately 19.14per cent of Dobbies' existing issued share capital (of which, undertakings inrespect of approximately 16.44 per cent. of the existing issued share capitalare subject to the call option referred to in paragraph 3 above). (b) Irrevocable undertakings with call option Tesco Holdings has received irrevocable undertakings to accept the Offer(including from the Dobbies Directors) in respect of 1,648,966 Dobbies Shares,representing approximately 16.44 per cent. of the existing issued ordinary sharecapital. The undertakings from the Dobbies Directors are in respect of theirentire holdings, and those of certain of their connected persons, amounting to1,302,507 Dobbies Shares representing approximately 12.99 per cent. of Dobbies'existing issued ordinary share capital. These undertakings will cease to bebinding only if the Offer lapses or is withdrawn and will remain binding in theevent that a higher competing offer for Dobbies is made. Tesco believes that there is opportunity for significant job creation in addition to over 1,500 existing Dobbies employees. It is part of Tesco's strategy to continue Dobbies' community involvement and visitor attractions including the Edinburgh butterfly and insect world and the "Plantasia" educational facility at Atherstone in Warwickshire. 6. Recommendation The Board of Dobbies, who have been so advised by Deloitte Corporate Finance and Bell Lawrie, consider the terms of the Offer to be fair and reasonable. The Board of Dobbies has received independent advice for the purposes of Rule 3of the City Code solely from Bell Lawrie. In providing their advice, Deloitte Corporate Finance and Bell Lawrie have each taken into account the commercial assessments of the Dobbies Directors. Accordingly, the Dobbies Directors intend unanimously to recommendDobbies Shareholders to accept the Offer. 7. Background to and reasons for the Recommendation Discussions between Dobbies and Tesco have confirmed to the Board of Dobbiesthat the commercial compatibility between the two groups is very strong andthat Dobbies' business should continue to flourish under Tesco's ownership. The Offer represents an enterprise value of approximately £227.7 million(including net debt, option proceeds and the net pension deficit) which is amultiple of approximately 17.5 times Dobbies' EBITDA for the twelve monthsended 30 April 2007. The Offer also represents a premium of approximately28.0 per cent. to 1,171.6 pence, being the average closing price per DobbiesShare over the one month period ended 29 May 2007, the Business Day prior toDobbies' announcement that it had been approached. The Board of Dobbies consequently believes that the Offer represents fairvalue to Dobbies Shareholders and is in the best interests of DobbiesShareholders. 8. Information on Tesco and Tesco Holdings Tesco Holdings is a wholly-owned subsidiary of Tesco. Tesco is the UK's largest retailer and one of the world's leadinginternational retailers. Information on Dobbies Dobbies is one of the UK's leading garden centre retailers with 21 stores mainlylocated across Scotland and Northern England. Headquartered in Midlothian, Dobbies has over 1,500 employees across the UK. For the year ended 31 October 2006, on a UK GAAP basis and from continuingoperations, Dobbies reported revenues of approximately £68.8 million (2005:£60.6 million) and profit before taxation of approximately £5.4 million (2005:£4.9 million). Net assets as at 31 October 2006 were approximately £42.6 million(2005: £39.8 million). Today, the Board of Dobbies announces Dobbies' interim results for the sixmonths ended 30 April 2007. For the six months ended 30 April 2007, on a UK GAAPbasis and from continuing operations, Dobbies reported revenues of approximately£40.0 million and profit before taxation of approximately £2.5 million. Netassets as at 30 April 2007 were approximately £44.1 million. 10. Financing of the Offer The cash consideration payable by Tesco Holdings under the terms of the Offerwill be funded from existing cash resources and debt facilities. Greenhill has confirmed that it is satisfied that the necessary financialresources are available to Tesco Holdings to enable it to satisfy in full thecash consideration payable by Tesco Holdings as a result of full acceptance ofthe Offer. 11. Management, employees and locations Tesco attaches great importance to the skills and experience of the existingmanagement and employees of Dobbies, who will play an important role in thefurther development and growth of the business going forward. Tesco alsobelieves that Dobbies' employees will benefit from a broader range ofopportunities as Dobbies, working with Tesco, pursues a strategy of investingin, and developing, the Dobbies business. Tesco has given assurances to the Board of Dobbies that the existing rights ofemployees of Dobbies, including pension rights, will be safeguarded followingcompletion of the Acquisition. Tesco plans to retain Dobbies' head office in Midlothian to support Dobbies'continued growth. The Board of Dobbies has no reason to believe that Tesco's intentions wouldprejudice Dobbies' employees. Tesco has confirmed that employees' contractualemployment rights will be safeguarded. 12. Dobbies Share Schemes The Offer will extend to any Dobbies Shares which are unconditionally allottedor issued before the date on which the Offer closes as a result of the exerciseof options or awards granted under the Dobbies Share Schemes. To the extent that such options are not exercised, and if the Offer becomes oris declared unconditional in all respects, it is intended that appropriateproposals will be made to holders of options under the Dobbies Share Schemes. 13. The Loan Note Alternative As an alternative to some or all of the cash consideration of 1,500 pence perDobbies Share which would otherwise be receivable under the Offer, DobbiesShareholders who validly accept the Offer (other than certain overseasshareholders) will, subject to the conditions and further terms set out inAppendix 1 to this announcement, be able to elect to receive Loan Notes to beissued by Tesco Holdings on the following basis: For every £1 of cash consideration under the Offer £1 nominal of Loan Notes The Loan Notes, which will be governed by English law, will be direct, unsecuredand unsubordinated obligations of Tesco Holdings and will be guaranteed byTesco. The Loan Notes will bear interest from the date of issue to the relevantholder of Loan Notes payable every six months in arrears (less any tax requiredby law to be deducted or withheld therefrom) on 30 June and 31 December, at arate per annum calculated to be 0.5 per cent. below LIBOR as determined on thefirst Business Day of each such interest period. The Loan Notes will be redeemable at par (together with accrued interest) at theoption of the holders, in whole or in part, on interest payment dates commencingon 30 June 2008. Any Loan Notes outstanding on 31 December 2010 will be redeemedat par (together with any accrued interest) on that date. Tesco Holdings mayelect to redeem any Loan Notes on any earlier interest payment date if theaggregate nominal value of the Loan Notes then outstanding is less than £1million. The Loan Notes will only be transferable to family members or familytrusts. The Loan Notes will be issued in integral multiples of £1 nominal. TescoHoldings reserves the right not to issue the Loan Notes where valid electionsare received for an aggregate of less than £2 million in nominal value of LoanNotes by the date the Offer becomes unconditional in all respects. Ifinsufficient elections are received, Dobbies Shareholders who elected to receiveLoan Notes will instead receive cash consideration in accordance with the termsof the Offer. The Loan Notes to be issued pursuant to the Offer have not been, and will notbe, registered under the US Securities Act or under the securities laws of anystate or other jurisdiction of the United States, Canada, Australia or Japan.Accordingly, the Loan Notes may not (unless an exemption under the relevantsecurities law is applicable) be offered, sold, resold, delivered ortransferred, directly or indirectly, in or into the United States, Canada,Australia or Japan (or any other jurisdiction if to do so would constitute aviolation of the relevant laws of, or require registration thereof in, suchjurisdiction) or to, or for the account or benefit of, a person located in theUnited States, Canada, Australia or Japan. The Loan Note Alternative will be conditional on the Offer becoming or beingdeclared unconditional in all respects and will remain open for so long as theOffer remains open for acceptance. Non-solicitation, bettering right and inducement fee Tesco Holdings has entered into the Inducement Fee Agreement with Dobbies underwhich Dobbies has given various undertakings to Tesco Holdings relating to,among other things, non-solicitation of Competing Proposals, a bettering rightand an inducement fee payable in certain circumstances. Non-solicitation In the Inducement Fee Agreement Dobbies has agreed, among other things, that itwill not, directly or indirectly, solicit, initiate, encourage or negotiate orotherwise seek to procure any Competing Proposal, subject to certain limitedexceptions. Bettering right Dobbies has agreed, among other things, to notify Tesco Holdings of any SuperiorProposal and not to recommend any Competing Proposal or Superior Proposal withincertain time constraints to enable Tesco Holdings to exercise its right tobetter any Competing Proposal or Superior Proposal by making a revised offer. Dobbies has further agreed, among other things, that, if Tesco Holdings confirmsto Dobbies within certain time constraints that it intends to make and is readyto announce, or announces, a revised offer at a price per Dobbies Share which isgreater than that provided under the Superior Proposal or Competing Proposal, asthe case may be, or that it intends to make and is ready to announce, orannounces, an offer which would, in the reasonable opinion of Dobbies'sfinancial advisers, provide superior financial value to Dobbies Shareholders(and is otherwise of terms which are, in the reasonable opinion of Dobbies'sfinancial advisers, no less favourable to those contained in the SuperiorProposal or the Competing Proposal), the directors of Dobbies will give aunanimous and unqualified recommendation of such revised offer. Inducement fee As an inducement to Tesco Holdings to issue this announcement of its intentionto make the Offer, Dobbies has agreed to pay an inducement fee to Tesco Holdingsof 1 per cent. of the value of the Offer if the Offer is announced andsubsequently lapses or is withdrawn or is not made and before this time anindependent competing offer is announced which subsequently becomesunconditional in all respects or otherwise completes. 15. Dealing disclosure requirements Under the provisions of Rule 8.3 of the City Code, if any person is, or becomes,"interested" (directly or indirectly) in 1% or more of any class of "relevantsecurities" of Dobbies, all "dealings" in any "relevant securities" of Dobbies(including by means of an option in respect of, or a derivative referenced to,any such "relevant securities") must be publicly disclosed by no later than3.30 pm (London time) on the London business day following the date of therelevant transaction. This requirement will continue until the date on which theOffer becomes, or is declared, unconditional as to acceptances, lapses or isotherwise withdrawn or on which the "offer period" otherwise ends. If two ormore persons act together pursuant to an agreement or understanding, whetherformal or informal, to acquire an "interest" in "relevant securities" ofDobbies, they will be deemed to be a single person for the purpose of Rule 8.3. Under the provisions of Rule 8.1 of the City Code, all "dealings" in "relevantsecurities" of Dobbies by Tesco Holdings or Dobbies, or by any of theirrespective "associates", must be disclosed by no later than 12.00 noon (Londontime) on the London business day following the date of the relevant transaction. In particular, a person will be treated as having an "interest" byvirtue of the ownership or control of securities, or by virtue of any option inrespect of, or derivative referenced to, securities. Delisting and compulsory acquisition If the Offer becomes or is declared unconditional in all respects, andsufficient acceptances are received, Tesco Holdings intends to procure thatDobbies will make an application for the cancellation of the listing of theDobbies Shares on AIM and for the cancellation of trading of the Dobbies Shareson AIM. It is anticipated that the cancellation of listing on AIM will take effect noearlier than 20 Business Days after Tesco Holdings has acquired or agreed toacquire 75 per cent. of the voting rights attaching to the Dobbies Shares. Thecancellation of the listing would significantly reduce the liquidity andmarketability of any Dobbies Shares not assented to the Offer at that time. If Tesco Holdings receives acceptances under the Offer in respect of, orotherwise acquires, 90 per cent. or more of the Dobbies Shares to which theOffer relates, Tesco Holdings will exercise its rights pursuant to theprovisions of Part 28 of the Companies Act 2006 to acquire compulsorily theremaining Dobbies Shares in respect of which the Offer has not been accepted. (x) taken any corporate action or had anylegal proceedings instituted or threatened against it or petition presented ororder made for its winding-up (voluntarily or otherwise), dissolution orreorganisation or for the appointment of a receiver, administrator,administrative receiver, trustee or similar officer of all or any material partof its assets and revenues or any analogous proceedings in any jurisdiction orappointed any analogous person in any jurisdiction; (f) since 31 October 2006 and except as disclosed in Dobbies'annual report and accounts for the year then ended or as otherwise publiclyannounced by Dobbies prior to the date of this announcement (by the delivery ofan announcement to a Regulatory Information Service) or as otherwise disclosedprior to the date of this announcement in writing to Tesco Holdings or itsadvisers by or on behalf of Dobbies: (i) there having been no adverse changeor deterioration in the business, assets, financial or trading position orprofit or prospects of any member of the Wider Dobbies Group which in any caseis material in the context of the Wider Dobbies Group taken as a whole; (ii) no contingent or other liability ofany member of the Wider Dobbies Group having arisen or become apparent to TescoHoldings or increased which in any case is material in the context of the WiderDobbies Group taken as a whole; (iii) no litigation, arbitrationproceedings, prosecution or other legal proceedings to which any member of theWider Dobbies Group is or may become a party (whether as plaintiff, defendant orotherwise) having been threatened, announced, implemented or instituted by oragainst or remaining outstanding against or in respect of any member of theWider Dobbies Group which in any case is material in the context of the WiderDobbies Group taken as a whole; (h) Tesco Holdings not having discovered other than to the extentdisclosed in Dobbies' annual report and accounts for the year ended on 31October 2006 or as otherwise publicly announced by Dobbies prior to the date ofthis announcement (by the delivery of an announcement to a RegulatoryInformation Service) or as otherwise disclosed prior to the date of thisannouncement in writing to Tesco Holdings or its advisers by or on behalf ofDobbies: (i) that any past or present member ofthe Wider Dobbies Group has not complied with any applicable legislation orregulations of any jurisdiction with regard to the use, treatment, handling,storage, transport, release, disposal, discharge, spillage, leak or emission ofany waste or hazardous substance or any substance likely to impair theenvironment or harm human health, or otherwise relating to environmental mattersor the health and safety of any person, or that there has otherwise been anysuch use, treatment, handling, storage, transport, release, disposal, discharge,spillage, leak or emission (whether or not the same constituted a non-complianceby any person with any legislation or regulations and wherever the same may havetaken place) which, in any case, would be likely to give rise to any liability(whether actual or contingent) or cost on the part of any member of the WiderDobbies Group which in any case is material in the context of the Wider DobbiesGroup taken as a whole; (ii) that there is, or is likely to be,any liability, whether actual or contingent, to make good, repair, reinstate orclean up any property now or previously owned, occupied or made use of by anypast or present member of the Wider Dobbies Group or any other property or anycontrolled waters under any environmental legislation, regulation, notice,circular, order or other lawful requirement of any relevant authority or ThirdParty or otherwise which in any case is material in the context of the WiderDobbies Group taken as a whole; or (iii) that circumstances exist whereby aperson or class of persons would be likely to have a claim against a member ofthe Dobbies Group in respect of any product or process of manufacture ormaterials used therein now or previously manufactured, sold or carried out byany past or present member of the Wider Dobbies Group which is or would bematerial in the context of the Wider Dobbies Group taken as a whole. For the purpose of these conditions: (a) "Third Party" means any central bank, government, governmentdepartment or governmental, quasi-governmental, supranational, statutory,regulatory or investigative body, authority (including any national anti-trustor merger control authority), court, trade agency, association, institution orprofessional or environmental body or any other person or body whatsoever in anyrelevant jurisdiction; (b) a Third Party shall be regarded as having "intervened" if ithas decided to take, institute, implement or threaten any action, proceeding,suit, investigation, enquiry or reference or made, proposed or enacted anystatute, regulation, decision or order or taken any measures or other steps orrequired any action to be taken or information to be provided or otherwisehaving done anything and "intervene" shall be construed accordingly; and (c) "Authorisations" means authorisations, orders, grants,recognitions, determinations, certificates, confirmations, consents, licences,clearances, provisions and approvals. Conditions (b) to (h) (inclusive) must be fulfilled, be determined by TescoHoldings to be or remain satisfied or (if capable of waiver) be waived bymidnight on the 21st day after the later of the first closing date of the Offerand the date on which condition (a) is fulfilled (or in each case such laterdate as Tesco Holdings may, with the consent of the Panel, decide), failingwhich the Offer will lapse. Tesco Holdings shall be under no obligation to waive(if capable of waiver), to determine to be or remain satisfied or to treat asfulfilled any of conditions (b) to (h) (inclusive) by a date earlier than thelatest date specified above for the fulfilment of that condition,notwithstanding that the other conditions of the Offer may at such earlier datehave been waived or fulfilled and that there are, at such earlier date, nocircumstances indicating that any condition may not be capable of fulfilment. If the Panel requires Tesco Holdings to make an offer for Dobbies Shares underthe provisions of Rule 9 of the City Code, Tesco Holdings may make suchalterations to the conditions of the Offer, including to condition (a), as arenecessary to comply with the provisions of that Rule. The Offer will lapse if the Offer or the proposed acquisition of Dobbies byTesco Holdings is referred to the Competition Commission before the later of3.00 p.m. (London time) on the first closing date of the Offer and the date whenthe Offer becomes or is declared unconditional as to acceptances. If the Offer lapses it will cease to be capable of further acceptance. DobbiesShareholders who have accepted the Offer and Tesco Holdings shall then cease tobe bound by acceptances delivered on or before the time when the Offer lapses. 2. The Offer and, where relevant, the Loan Note Alternative will be on the termsand will be subject, inter alia, to the conditions which are set out in part 1of this Appendix 1 and those terms which will be set out in the formal offerdocument and such further terms as may be required to comply with the AIM Rulesand the provisions of the City Code.
