Notification of Transfer of Shares: No Change in Control

3Legs Resources plc (the "Company") has received notice of a transfer of ordinary shares in the Company made by Roy Williams, a significant shareholder in the Company, solely for estate planning purposes. The transfer, which involves no change in control of the shares in question and has been approved by the Company's Nomad, comprises the transfer of 3,354,428 ordinary shares in the Company, representing 3.96% of the Company's issued share capital, by Roy Williams to Peaseblossom Limited, an investment holding company owned by Roy Williams and members of his family and controlled by Roy Williams. All of the ordinary shares which are the subject of the transfer remain subject to the one year lock-up restrictions agreed by Roy Williams and others in connection with the Company's listing on AIM completed on 14 June 2011.
