Notification of Transactions of Directors/Persons Discharging Managerial

Responsibility and Connected Persons

1. Name of the issuer

2. Reason for responsibility to notify:

Notification relates to a transaction notified in accordance with DTR 3.1.2R

3. Names of persons discharging managerial responsibilities

Josef El-Raghy - Chairman and CEO

Andrew Pardey - Chief Operating Officer

Pierre Louw - Chief Financial Officer

4. State whether notification relates to a person connected with a person discharging managerial responsibilities named in 3 and identify the connected person

The notification does not relate to any person connected with a person discharging managerial responsibilities.

5. Description of shares (including class)

Fully paid ordinary shares in Centamin PLC.

6. State the nature of the transaction

i) The voluntary forfeiture (for nil cash consideration) of 1,000,000 ordinary shares of Centamin PLC beneficially held pursuant to the Company's existing Loan Funded Share Plan by Josef El-Raghy to help fund a new employee benefit trust established in connection with the Company's deferred bonus scheme; and

ii) The award (for nil consideration) to each of Andrew Pardey and Pierre Louw of conditional rights to acquire 500,000 shares in the future pursuant the Company's deferred bonus scheme.

7. Price per share

The share price used for determining the number of shares the subject of the awards under the Company's deferred bonus scheme was the closing price on 11 October 2012, being 100.6p.

 11 October 2012 - London.

9. Date issuer informed of transaction

11 October 2012.

10. Date of grant

The awards to each of Andrew Pardey and Pierre Louw of conditional rights to acquire shares were made on 11 October 2012.

11. Period during which or date on which exercisable

In equal amounts on the first, second and third anniversary of grant.

12. Total amount paid (if any) for grant

No amount was paid by Andrew Pardey or Pierre Louw for the grant of the awards referred to above.

13. Description of shares or debentures involved (class and number)

Andrew Pardey and Pierre Louw each hold awards in respect of 500,000 fully paid ordinary shares in Centamin PLC.

14. Exercise price (if fixed at time of grant) or indication that price is to be fixed at the time of exercise

No amount is payable on the vesting of any shares under the Company's deferred bonus scheme.

15. Total number of shares or debentures over which options held following notification

Following the grant, each of Andrew Pardey and Pierre Louw hold conditional rights to acquire 500,000 shares in the future pursuant the Company's deferred bonus scheme.

Following this transaction, Josef El-Raghy's holdings and those of his connected persons in the share capital of the Company are as follows:

The total number ordinary shares in which Josef El-Raghy and his connected persons have a beneficial interest is 70,945,086 representing 6.44 % of the issued ordinary share capital of the Company.

The total number ordinary shares in which Andrew Pardey and Pierre Louw and their connected persons have a beneficial interest is 1,780,000 and 1,735,500 respectively (including for this purpose the conditional rights to acquire shares referred to above) representing, in each case, 0.16% of the issued ordinary share capital of the Company.
