Notification of transaction of PDMRs

On 29 September 2014, an unconditional award (the "Award") of 133,781 ordinary shares of 1 pence each ("Shares") in Exova Group plc (the "Company") was made to Ravijit Paintal, a person discharging managerial responsibilities ("PDMR"), under the Exova Group plc Additional Share Scheme (the "Scheme").

The Award was granted for no consideration, with the beneficial interest in the Shares transferred to the PDMR on 29 September 2014. Following this award, Ravijit Paintal's holding in the Company is 920,302 Shares. The Shares are subject to the same lock-up arrangements as the other Shares held by the PDMR and may not be sold before 16 April 2015 (including sales to discharge tax liabilities arising on the award being made) without the consent of the joint bookrunners who acted in relation to the initial public offering of the Company in April 2014. The Shares will be sourced from the Company's Employee Benefit Trust ("EBT") using Shares provided by Tabasco BV (a company controlled by Clayton, Dubilier & Rice).

This notification is made in accordance with DTR 3.1.4

In addition, on 29 September 2014 an existing option ("Option") to acquire Shares at nil cost was exercised by Hicham Abdallah, a PDMR, under the Scheme, as set out in column 3 in the table below. As set out in the Company's RNS announcement dated 3 June 2014, the Shares to satisfy the Option are being transferred from the Company's EBT. Following exercise, Hicham Abdallah holds the total number of Shares as set out in column 4 below:

The Shares received by Hicham Abdallah from exercise of the Option are subject to the same lock-up arrangements as the other Shares held by him and may not be sold before 16 April 2015. No tax liabilities arise on exercise of the Option.
