Notification of transaction in shares by Persons Discharging Managerial Responsibilities.

The Company has today been notified that on 5 September 2012, Mr. Mark Robson transferred 3,217 ordinary shares of 10 pence each listed against his name to his wife, Mrs. Rachel Robson, for nil consideration.

Following the transfer, Mr. Robson's total holding of shares in Howden Joinery Group Plc (including shares in his wife's name) remained unchanged at 1,415,265 ordinary shares.

This notification is made pursuant to the Disclosure and Transparency Rule 3.1.4R(1)(a).
