Notification of transaction in shares by Persons Discharging Managerial Responsibilities.

The Company has today been notified that on 30 April 2012, Mr. Mark Robson instructed the transfer of 567,267 ordinary shares of 10 pence each listed against his name to his wife Mrs. Rachel Robson for nil consideration.

Following the transfer, Mr. Robson's total holding of shares in Howden Joinery Group Plc (including shares in his wife's name) remained unchanged at 1,409,884 ordinary shares.

This notification is made pursuant to the Disclosure and Transparency Rule 3.1.4R(1)(a).
