Notification of Share Awards
The Company announces that the Remuneration Committee has granted the following conditional share awards to Mark Dixon on 4 March 2015, at a price of £2.218 per share, under the Regus plc Co Investment Plan (the “CIP”):
Number of shares subject to Investment Share Award: 132,326
Number of shares subject to Matching Share Award: 529,304
The Company further announces that the Remuneration Committee has granted the following conditional share awards to Dominique Yates on 4 March 2015, at a price of £2.218 per share, under the CIP:
Number of shares subject to Investment Share Award: 75,626
Number of shares subject to Matching Share Award: 302,504
The Investment Share awards granted in accordance with the rules of the CIP represent a deferred bonus payment in respect of 50% of the annual bonus for Mr Dixon and Mr Yates respectively relating to the financial year ended 31 December 2014. In addition, the CIP provides for the Remuneration Committee to provisionally award up to four Matching Shares for each Investment Share conditionally awarded, subject to the satisfaction of certain conditions.
The Investment Share awards will vest and be released at the end of a three year holding period, subject to Mr Dixon and Mr Yates respectively being continuously employed with the Regus group during that period.
The release of the Matching Share awards will be partly subject to the satisfaction of earnings per share targets and partly subject to satisfaction of Total Shareholder Return targets and will vest after a five year holding period.
