Terrace Hill Group PLC (AIM:THG) announces the following grant of awards ("Awards") to Mr Jon Austen, Finance Director of the Company under the Company's Performance Share Plan ("PSP") on 28 October 2008.

1. The Awards will ordinarily vest on 1 September 2010;
2. No consideration is payable on the grant of the Awards, but prior to the issue or transfer of any shares that vest, a payment of par value per share is required;
3. The Company has 211,971,299 Ordinary Shares of 2p each in issue;
4. There are no shares held in treasury so the total voting rights in the Company is therefore 211,971,299;
5. The Company now has a total of 11,436,843 Awards outstanding, under the Terrace Hill Group PLC Performance Share Plan, representing 5.4% of the issued Ordinary Share Capital; and
6. The notification of these Awards is intended to satisfy the Company's obligations under the Financial Services Authority's Disclosure and Transparency Rules.
