Notification to Shareholders in regard to Subscription Rights

Please be reminded that you have the right to subscribe for Ordinary Shares in the Company in cash on the basis of one new Ordinary Share for every five existing Ordinary Shares held on 9 April 2026, exercisable on 30 April, at a price of 37.20 pence per share (being the price equal to the audited undiluted net asset value of an Ordinary share on 1 May 2025).

The Subscription Price is, at present, materially below the current share price

The deadline to submit your instructions is 1pm on Friday 24 April 2026 for the Fifth Annual Subscription Date. 

If you hold your Ordinary Shares in uncertificated form, you will be allocated Subscription Right entitlements in CREST on 13 April 2026 by reference to your shareholding as at close of business on 9 April 2026 (the Record Date). Market claims will not be switched on in CREST, which was the case for previous events.

If you hold your shares in certificated form you should return an application form and a payment as instructed in the form to Computershare Investor Services PLC, Corporate Actions, The Pavilions, Bridgwater Road, Bristol BS99 6AH.

Ordinary Shares issued pursuant to the exercise of Subscription Rights will be allotted within 14 Business Days of the relevant Subscription Date.
