Range Resources Limited has today issued 79,658,017 fully paid ordinary shares and 100,000,000 listed options exercisable at 5 cents on or before 31 December 2011 as approved by shareholders at the Company's General Meeting on Friday 4 September 2009, pursuant to an offer made to professional and sophisticated investors (as described in Section 708 of the Corporations Act). The securities are part of a class of securities quoted on the Australian Securities Exchange.
The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act.
The shares were issued without disclosure to investors under Part 6D.2, in reliance on Section 708A(5) of the Corporations Act 2001.
As at the date of this notice, the Company has complied with:
a. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and b. Section 674 of the Corporations Act.
There is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations Act.
A portion of the fully paid ordinary shares are to be issued to sophisticated and institutional investors in the United Kingdom ("UK") and allotted on the company's UK register.
