NOTICE TO THE NOTEHOLDERS

In accordance with Conditions 2(f) and 2(h) of the Terms and Conditions of the Notes, Shanks Group plc hereby gives notice that Afvalstoffen Terminal Moerdijk B.V., Shanks Netherlands Holdings B.V., Shanks Hazardous Waste B.V. and Reym B.V. have acceded as New Guarantors of the Notes and their respective guarantees came into force on 12 July 2013.

Terms defined in the trust deed dated 22 October 2010, as amended and/or supplemented from time to time, constituting the Notes have the same meaning when used in this notice.
