Friends Provident plc 12 per cent. Fixed Rate Guaranteed Subordinated Notes due 2021 issued in May 2009 (ISIN XS0430178961) (the "Notes")
Notice is hereby given to the holders of the STICS and the Notes that with effect from and including 6 July 2009:
* Friends Provident Group plc (company number 06861305) (the parent company of Friends Provident plc) has been substituted for Friends Provident plc as the principal debtor in respect of the STICS and the Notes in accordance with Condition 13 of the terms and conditions of the 2003 STICS, Condition 13 of the terms and conditions of the 2005 STICS and Condition 11 of the terms and conditions of the Notes; * Friends Provident Life and Pensions Limited will continue to guarantee all payments in respect of the STICS and the Notes on the same terms and subject to the same conditions as it did prior to such substitutions; and * the STICS and the Notes will continue to be admitted to listing on the Official List of the UK Listing Authority and to trading on the regulated market of the London Stock Exchange plc.
Any Holder (as defined in the terms and conditions of the relevant series of STICS) or Noteholder (as defined in the terms and conditions of the Notes) who wishes to inspect a copy of the relevant supplemental trust deed executed in relation to each substitution and guarantee from Friends Provident Life and Pensions Limited may do so during normal business hours at the specified office of the Principal Paying Agent listed below.
