reduction was already approved in the 2018 Annual General

Shareholders' Meeting held on June 22, 2018.

6.Countermeasures:

(1)The Notice is made according to the Articles 281 and 73 of the Company Act.

(2)Company's 2018 Annual General Shareholders' Meeting held on June 22, 2018 approved the capital reduction by cash in amount of NTD34,657,476,530 and the cancellation of 3,465,747,653 shares. According to the aforesaid amount, the paid-in capital of the company would be reduced by 20% (the "Capital Reduction Plan").

(3)Based on the above, by this notice to all creditors, any creditor may submit his/her objection to the Capital Reduction Plan to Company with written evidences of his/her own credit in question during the period from July 20, 2018 to August 20, 2018. Any failure to submit the objection to Company thereafter should be deemed to be an approval to the Capital Reduction Plan.
