Headline: Assumption of Notes

To the holders (the "Holders") of each series of notes listed in the Schedule hereto (the "Notes") and issued pursuant to the terms of an Indenture, dated as of 31 May 1991, between The Bear Stearns Companies LLC (formerly known as The Bear Stearns Companies Inc.) (the "Original Issuer") and The Bank of New York Mellon, as Trustee, as supplemented and amended (the "Indenture"):
Pursuant to the terms and conditions of a Third Supplemental Indenture, dated 31 July 2008 between the Original Issuer, JPMorgan Chase & Co. and The Bank of New York Mellon, as Trustee (the "Third Supplemental Indenture"), JPMorgan Chase & Co. agreed to assume all of the rights and obligations of the Original Issuer in respect of the Notes with effect from 31 July 2008 (the "Issuer Assumption").
JPMorgan Chase & Co. hereby gives notice of the Issuer Assumption to the Holders.
