NOTICE OF THE 2021 FIRST EXTRAORDINARY
GENERAL MEETING
NOTICE IS HEREBY GIVEN that the first extraordinary general meeting for the year 2021 of SDIC Power Holdings Co., Ltd. will be held at Room 207, No.147 Xizhimen Nanxiao Street, Xicheng District, Beijing, the PRC, on Friday, 15 January 2021 at 14:00 p.m., for the purpose of considering, and if thought fit, passing the following resolution.

1. To consider and approve the proposal for the election of Mr. ZHANG Wenping as a Director of the Board of the Company.

ORDINARY RESOLUTION
1. Resolution 1 - Proposed Election of Director of the Company
On the recommendation of State Development and Investment Group Co., Ltd, it is proposed to appoint Mr. ZHANG Wenping as a Director of the Company's the 11th Board of Directors. The election of Mr. ZHANG Wenping shall be subject to the approval of the Shareholders by means of ordinary resolution.
The biographical details of the above Director candidate are set out in Appendix I hereto for the Shareholders to make an informed decision on the relevant resolution at the 2021 first extraordinary general meeting of the Company.
APPENDIX I BIOGRAPHICAL DETAILS OF THE DIRECTOR CANDIDATE
Biographical details of the Director candidate are as follows:
Mr. ZHANG Wenping
Zhang Wenping, male, age 50, a holder of master's degree in management, senior accountant. He successively served as the director of enterprise management and planning department, assistant to general manager and chief accountant of Xiamen Huaxia International Power Development Co., Ltd. (厦门华夏国际电力发展有限公司) , deputy general manager of SDIC (Fujian) Meizhouwan Power Generation Co., Ltd (国投（福建）湄洲湾发电有限公司) , deputy general manager of SDIC Genting Meizhouwan (国投云顶湄洲湾发电有限公司) , general manager of Xiamen Huaxia International Power Development Co., Ltd. (厦门华夏国际电力发展有限公司) , and the deputy director of the Finance Department of State Development and Investment Group Co., Ltd. The appointment of Zhang Wenping as the general manager of SDIC Power Holdings Co., Ltd., was considered and approved at the 21th meeting of the 11th Session of Board of Directors of the Company on 14 December 2020.
