NOTICE IS HEREBY GIVEN that the 2021 Annual General Meeting of China Yangtze Power Co., Ltd. will be held at Room 2207, Building B of Focus Place, No. 19, Financial Street, Xicheng District, Beijing, the PRC, on Wednesday, 25May 2022 at 9:30 a.m., for the purpose of considering, and if thought fit, passing the following resolution.

1. To consider and approve the 2021 Annual Work Report by the Board of Directors

3. To consider and approve the 2021 Annual Final Financial Report of the Company

5. To consider and approve the Proposal on Appointment of the Company's 2022 Annual Financial Report Auditors

6. To consider and approve the Proposal on Appointment of the Company's 2022 Annual Internal Control Auditors

7. To consider and approve the Proposal on External Guarantee Plan in 2022

8. To consider and approve the Proposal on Short-term Fixed-income Investments for 2022

9. To consider and approve the Proposal on Renewal of the Framework Agreement of Financial Services with Three Gorges Finance Co., Ltd.

10. To consider and approve the Proposal on Renewal of the Framework Agreement of Financing Business with Three Gorges Finance (Hong Kong) Co., Ltd.

11. To consider and approve the Proposal of Matters Related to Issuance of Debt Financing Instruments in the Inter-bank Market

12. To consider and approve the Proposal on Establishing the "Management System for External Donations" of the Company
