Notice of sale of 2035 Retained Bonds

Optivo Finance plc 2.857% Secured Bonds due 2035ISIN: XS2133453626, Common Code: 213345362(the "2035 Bonds")

On 24 June 2022 the Issuer issued £100,000,000 in principal amount of the 2035 Bonds (to be consolidated and form a single series with its pre-existing £250,000,000 2.857 per cent. Secured Bonds due 2035), on the basis of a prospectus dated 22 June 2022 (the "Prospectus"), immediately repurchasing the full £100,000,000 for sale at a future date (the "2035 Retained Bonds").

As announced on the Issuer has previously sold £31,500,000 2035 Retained Bonds leaving £68,500,000 available for sale.

The issuer has today sold the remaining £68,500,000 of 2035 Retained Bonds.

Following today's sale, the outstanding principal amount of 2035 Bonds in issue is £350,000,000.
