NOTICE OF RESULTS OF MEETING AND PURCHASE AND CANCELLATION OF NOTES

with respect to

Old Mutual plc (the "Issuer") (incorporated with limited liability in England and Wales, under the Companies Act 1985, with registered number 3591559) EUR 20,000,000 Notes due August 2013 (ISIN: XS0173801415) (the "Notes")

At a meeting of the holders of the Notes (the "Holders") convened by the notice dated 13 April 2010 (the "Notice of Meeting") and held on 4 May 2010 at 11.00 a.m. (London time) the Extraordinary Resolution detailed in the Notice of Meeting was not passed.

The Notes have been cancelled following the purchase of such Notes by the Issuer.

Capitalised terms used but not defined in this Notice of Results of Meeting shall have the meanings given in the Notice of Meeting.
