The notification listed below was received under paragraph 3.1.2 of the UK's Disclosure and Transparency Rules.

Verizon Communications Inc. (the "Company") makes the following announcement:

The Company received notification on April 30, 2015 that Daniel S. Mead, Executive Vice President and President of Strategic Initiatives of the Company, a person discharging managerial responsibility, sold 24,945 shares of common stock of the Company (the "Shares") on April 29, 2015. Mr. Mead sold the Shares in the United States at a weighted average price per share of USD 50.45. These shares were sold in multiple transactions at prices per share ranging from USD 50.41 to USD 50.48. The reporting person will provide to Verizon Communications Inc., any security holder of Verizon Communications Inc., or the staff of the U.S. Securities and Exchange Commission, upon request, full information regarding the number of Shares sold at each separate price within the range set forth herein.

The Company received notification on April 30, 2015 that the trustee of the Verizon 401(k) savings plan, at the direction of Daniel S. Mead, Executive Vice President and President of Strategic Initiatives of the Company, a person discharging managerial responsibility, disposed of 9,907 Shares held in Mr. Mead's plan account and invested the proceeds in other funds under the plan on April 29, 2015. The Shares were sold in the United States at an average price of USD 50.47.

The Company also received notification on May 1, 2015 that the trustee of the Verizon 401(k) savings plan, at the direction of Daniel S. Mead, Executive Vice President and President of Strategic Initiatives of the Company, a person discharging managerial responsibility, disposed of 1,226 Shares held in Mr. Mead's plan account and invested the proceeds in other funds under the plan on April 30, 2015. The Shares were sold in the United States at an average price of USD 50.44.
