NOTICE OF MEETING OF SHAREHOLDERS

Nyota Minerals Limited (ASX/AIM: NYO), the East African gold exploration and development company, advises that a General Meeting of Shareholders will be held at 10am (WST) on 4 April 2013 at the Company's office, Suite 2, 5 Ord Street, West Perth, Australia.  

The Notice of General Meeting and Explanatory Memorandum, Proxy Form for Shareholders and Form of Instruction for Depositary Interest Holders have today been distributed to shareholders and Depositary Interest Holders. Copies of these documents are also available on the Company's website.

The Resolutions to be put before shareholders include, amongst other things;

·; The approval of the issue of 105,000,000 shares in the Company to the Placees, each at an issue price of £0.02 per Share (the "Second Tranche Shares") to raise £2.1 million (before costs)

·; The approval of the issue of a total of 4,100,000 Shares to Ocean Equities and RFC Ambrian in satisfaction of advisory fees

·; The approval of the issue of up to 40,000,000 Shares at an issue price of $0.03 per Share (SPP Shares) to Eligible Shareholders to raise a total of up to $1.2 million (before costs)

·; The issue of 2,536,547 shares to directors of the Company in lieu of directors fees owed
