Formation Group PLC08 May 2006 Formation Group plc (the "Company") Notice of interest The Company has been notified today that on 5 May 2006 David Kennedy purchased560,000 ordinary shares of 1p each ("Ordinary Shares") in the Company,increasing his holding to 5,810,000 Ordinary Shares, which represents 5.06% ofthe current issued ordinary share capital of the Company. Following DavidKennedy's subscription for a further 11,487,381 Ordinary Shares, which areexpected to be admitted to trading on AIM on 9 May 2006, this increases hisholding, in aggregate, to 17,297,381 Ordinary Shares, which represents 13.69% ofthe enlarged issued ordinary share capital of the Company. The Company has also been notified that on 5 May 2006 the Imperial Trustpurchased 1,200,000 Ordinary Shares of the Company, increasing its holding to4,700,000 Ordinary Shares. This shareholding represents 4.09% of the currentissued ordinary share capital of the Company and 3.72% of the enlarged issuedordinary share capital of the Company.
