Verona Pharma plc (the "Company") Notice of interest

The Company announces that it received notification on 30 March 2009 that, following the acquisition of 12,500,000 ordinary shares of 0.1p each in the Company ("Ordinary Shares"), Henderson Global Investors Ltd has an indirect interest in 12,500,000 Ordinary Shares, which represents 5.81 per cent. of the total voting rights of the Company.
