New Financing Facility - Posting of Circular

GAME Digital plc (the "Company" and, together with its subsidiaries, the "Group"), the specialist video games retailer, announced on 21 April 2016 that it and certain members of its Group had entered into an asset-backed revolving loan facility (the "Facility Agreement") with Lajedosa Investments S.à r.l. ("Lajedosa" - as lender) and that Lajedosa (as chargee), the Company and certain members of the Group would enter into a debenture as security for the amounts due under the Facility Agreement (the "Debenture" and, together with the Facility Agreement, the "Financing Documents").

For the purposes of Chapter 11 of the Listing Rules, Lajedosa is an associate of Duodi Investments S.à r.l., which is a related party of the Company by virtue of holding approximately 43.44 per cent. of the Company's ordinary shares of £0.01 each. As a result, Lajedosa itself is also a related party of the Company and the entry into the Financing Documents by the Company and the other members of the Group is, therefore, treated as a related party transaction for the purposes of Chapter 11 of the Listing Rules. Duodi Investments S.à r.l. is an investment vehicle ultimately wholly-owned by Elliott International, L.P. and Elliott Associates, L.P. (the latter via a participation interest with Elliott International, L.P.). Consequently, the entry into the Financing Documents is subject to and conditional upon the approval of the Company's shareholders ("Shareholders") at a general meeting.

The Company announces that it has today posted to Shareholders a circular providing them with details of the Financing Documents and with a notice convening a general meeting, which is to be held at the Company's registered office at Unity House, Telford Road, Basingstoke, Hampshire, RG21 6YJ at 10:00 a.m. on 19 May 2016 (the "Circular").

The Circular will shortly be made available on the Company's website at www.gamedigitalplc.com. The Circular has also been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
