Noticeof General Meeting

Ramat Gan, Israel, 24 April 2017

The Company refers to its announcements of 23 March and 5 April 2017. On 23 April 2017, the District Court of Tel Aviv ruled that the 10,278,451 shares of the Company held by Adv. Kobie Amster, in his capacity as court-appointed trustee over such shares, should be voted in accordance with Adv. Amster’s discretion and that the Company can and should convene its adjourned general meeting by no later than 5 May, 2017.

The board of the directors of the Company (the “Board”) believes that holding the general meeting (the “GM”) by no later than 5 May, 2017 would breach Israeli law provisions as to notice periods for general meetings and may prejudicially affect shareholders’ ability to exercise their rights as shareholders of the Company. As such, the Company is appealing the court’s decision in an effort to protect the position of the Company’s shareholders as a whole, and will hold the GM as soon as it is legally able to do so.
