Notice of General Meeting

Norseman Gold Plc ("Norseman" or "Company") announces that it has today posted to shareholders a notice of general meeting to be held on 23 August 2012 ("General Meeting").

At the General Meeting resolutions will be proposed in relation to the placing of 625,000,000 new ordinary shares in the Company announced on 20 July 2012 ("Placing").

The Placing is being carried out in two tranches. The first tranche of 73,830,333 ordinary shares were admitted to trading on AIM on 26 July 2012 and the second tranche will be admitted to trading, subject to approval by shareholders at the General Meeting, with effect from 24 August 2012. Kevin Maloney, Chairman, and David Steinepreis, a director of the Company, are participating directly and indirectly in the second tranche of the Placing. The directors, other than Kevin Maloney and David Steinepreis, having consulted with the Company's nominated adviser Northland Capital Partners Limited, consider the terms of the Placing to be fair and reasonable insofar as shareholders as a whole are concerned.
