Notice of General Meeting

Huddled Group plc (AIM:HUD), the circular economy e-commerce group announces that, further to the announcement on 10 February 2026, a notice of general meeting (the "GM") will be posted to shareholders today and will be available shortly on the Company's website: Investor Information - Huddled Group plc.

The GM will be held at Token House, 11-12 Tokenhouse Yard, London, EC2R 7AS on 11 March 2026 at 2 p.m.

Background to and reason for the GM

On 10 February 2026 the Company announced (RNS no. 3258S) that it had raised gross funds of approximately £740,000 via direct subscription and a retail offer to strengthen the Group's stock and working capital position across its existing brands, as well as to provide additional working capital for expansion into new channels to market. The Company issued and allotted the Issued Subscription Shares and the WRAP Retail Offer Shares on 12 February 2026. The issue and allotment of the Issued Subscription Shares and the WRAP Retail Offer Shares substantially exhausted the Company's authorities granted at the August 2025 General Meeting and, as a consequence, it has insufficient authorities to issue the Subscription Shares. The Company proposes to hold a General Meeting to request shareholders to provide the required authorities to enable the Subscription Shares to be issued and to refresh the authorities that were taken at the August 2025 General Meeting that have been utilised to satisfy the issue and allotment of the Issued Subscription Shares and the WRAP Retail Offer Shares.
