Notice of General Meeting

Management Resource Solutions Plc ("MRS" or "Company") announces that it has today posted to shareholders a notice convening a general meeting of the Company on 20 October 2016 ("General Meeting").

The purpose of the General Meeting is to grant the directors of MRS the necessary authority to issue the 7,596,967 ordinary shares due to SubZero Group Limited (the "Consideration Shares") and the 228,571 ordinary shares due to Align Research (the "Research Shares"), as described in the Company's announcement of 30 September 2016.

Application will be made for the Consideration Shares and Research Shares to be admitted to trading on AIM with effect from 21 October 2016, conditional upon shareholder approval at the General Meeting.

Following the Admission of the Consideration Shares and Research Shares there will be a total of 70,838,298 ordinary shares of €0.01 each in issue with each share carrying the right of one vote. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
