•News Release • Helphire Group plc Issue Date: 1 May 2014 NOTICE OF CHANGE OF COMPANY NAME AND PROPOSED 1 FOR 10 SHARE CONSOLIDATION Change of Name Helphire Group plc ("Helphire", "Company" or "Group") announces that its namewill be changed to Redde plc with effect from 23 May 2014. The Group's activities now extend beyond the provision of replacement, hirevehicles and, particularly following the recent acquisition of the New Lawgroup of companies, encompass a range of services designed to restore thecustomer to their position prior to an accident or event. The Board considersthat this new name, which is associated, in Latin, with the concept ofrestoration, more appropriately describes the Group's enlarged field ofactivities and now better reflects the strategic aims and wider business focusof the Group. The name change is being made by a resolution of the Board passed yesterday, 30April 2014, in accordance with the power granted to the Board under itsarticles of association. Proposed 1 for 10 Share Consolidation Helphire also announces that it proposes to seek the approval of shareholdersfor the consolidation of the Company's share capital (the "Share CapitalReorganisation") on the basis of: 1 new ordinary share for every 10 existing ordinary shares The Board believes that the Share Capital Reorganisation will lead to moremeaningful earnings per share figures and result in the new ordinary sharestrading in a price range that is more conventional and more appropriate for acompany of Helphire's size and profile. The Share Capital Reorganisation shouldalso streamline the Company's share register, resulting in some saving ofadministrative costs and management time. Each new ordinary share will have a nominal value of 0.1 pence compared withthe nominal value of each existing ordinary share of 0.01 pence. The resolution required to give effect to the Share Capital Reorganisation iscontained in a circular to be posted to shareholders today and is subject toapproval by shareholders at the forthcoming general meeting of the Company tobe held at 10.00 am on Friday 23 May 2014. If the resolution is passed by the requisite majority, the new ordinary shareswill be admitted to trading on AIM. It is anticipated that admission to AIMwill occur on 27 May 2014. The new ordinary shares have been allocated newstock identification codes as follows: SEDOL code (REDD) and ISIN code(GB00BLWF0R63).
