Proposed Share Capital Reorganisation

Notice of General Meeting

 

 

Motive Television PLC (AIM: MTV) announces that it has today posted to shareholders notice of a General Meeting of the Company ("Notice of GM"), to be held at 11.00 a.m. on 26 August 2015 at the offices of Cooley (UK) LLP, Dashwood, 69 Old Broad Street, London, EC2M 1QS, UK for the purpose of considering and, if thought fit, passing resolutions pertaining to a reorganisation of the Company's issued share capital and the subsequent amendment of the Company's articles of association.

 

It is intended that the following amendments to the Company's share capital will take place:

 

· that the 22,256,422,122 existing ordinary shares of £0.00005 each in the issued share capital of the Company be sub-divided into 22,256,422,122 new ordinary shares of £0.0000005 each and 22,256,422,122 new deferred C shares of £0.0000495 each; and

· that, in light of the sub-division of the existing ordinary shares, the 22,256,422,122 new ordinary shares of £.0000005 each be consolidated into 222,564,221 new ordinary shares of £0.00005 each.

 

These changes will reduce the total number of ordinary shares in issue as well as give the Company greater flexibility with regards to any potential transactions, being acquisitions, fundraisings, or, any other corporate activity.
