An ordinary resolution will beproposed at the meeting to authorise the Directors, pursuant to section 80 (a"section 80 authority") of the Companies Act 1985 (the "Act"), to allot ordinaryshares up to an aggregate nominal amount of £394,700. Previously at the Company's Annual General Meeting held in 2000, section 80authority was conferred on the Directors, to allot relevant securities withinthe meaning of the Act up to an aggregate nominal amount of £500,000.
