The Directors also propose that Investec plc adopts new articlesof association to reflect the increase in its authorised share capital, torecord the rights and privileges attaching to the perpetual preference sharesand to effect other consequential technical amendments. As a result of the Dual Listed Companies structure implemented in July 2002, theProposal is conditional, amongst other things, on the approval of Members ofboth Investec Limited and Investec plc voting together as a singledecision-making body. This approval will be sought at the General Meeting ofInvestec Limited to be held at 11:00 (SA time) on Wednesday, 28 June 2006 at theregistered offices of Investec Limited at 100 Grayston Drive, Sandown, Sandtonas well as at the parallel Extraordinary General Meeting of Investec plc to beheld at the same time, 10:00 (UK time) on Wednesday, 28 June 2006 at theregistered offices of Investec plc at 2 Gresham Street, London, EC2V 7QP, UnitedKingdom.
