Notice of decisions of the Board of Directors

On 29 July 2015, the Board of Directors of PJSC TransContainer (TRCN) (the "Company") passed the following resolutions: 

1. To appoint Mr. Ivan Besedin as Chairman of the Board of Directors of PJSC TransContainer and Mr. Yuri Novozhilov as Deputy Chairman of the Board of Directors of PJSC TransContainer.

2. To appoint Ms. Olga Miller as the Company's corporate secretary.

3. To qualify Mr. Richard Werner and Ms. Irina Shytkina as the Board's Independent Directors.

4. To elect the Strategy Committee of the Board of Directors comprising the following members:

- Mr. Petr Baskakov

- Mr. Alexey Davydov

- Mr. Yuri Novozhilov

- Mr. Anton Ryshkov[1]

- Mr. Marat Shaidayev

- Mr. Arvid Türkner

To elect Mr. Alexey Davydov as Chairman of the Strategy Committee.

5. To elect the Audit Committee of the Board of Directors comprising the following members:

- Mr. Alexey Davydov

- Ms. Irina Kostenets

- Mr. Alexander Panchenko

- Mr. Arvid Türkner

- Mr. Richard Werner

To elect Mr. Richard Werner as Chairman of the Audit Committee. 

6. To elect the Personnel and Remuneration Committee of the Board of Directors comprising the following members:

- Mr. Ivan Bessonov

- Mr. Erkhat Iskaliev

- Ms. Irina Kostenets

- Mr. Alexander Panchenko

- Ms. Irina Shytkina

- Mr. Richard Werner

To elect Ms. Irina Shytkina as the Chairperson of the Personnel and Remuneration Committee.
