Notice of AGM

Urban Exposure plc (the "Company" or "Urban Exposure"), a specialist real estate development financier and asset manager, gives notice that the Annual General Meeting ("AGM" or the "Meeting") of the Company is to be held at the offices of Hogan Lovells International LLP in Atlantic House, Holborn Viaduct, London EC1A 2FG on 29 July 2020 at 10:00 a.m. (BST).

The board continues to monitor the impact of the Covid-19 pandemic and the UK Government's response. In light of the current and anticipated public health guidelines issued in connection with the Covid-19 pandemic, physical attendance at the Meeting will not be possible, and is expected to be limited to the minimum necessary quorum in order to conduct the business of the meeting. Accordingly, the Company urges shareholders to vote by proxy and to appoint the chairman of the Meeting as their proxy. If a shareholder appoints someone else as their proxy, that proxy may not be able to attend the Meeting in person nor cast the shareholder's vote. All votes on the resolutions contained in the notice of the Meeting will be held by poll, so that all proxy votes are counted.

A copy of the AGM notice and form of proxy will be posted to shareholders today and copies of the AGM notice will shortly be available on the Company's website: www.urbanexposureplc.com.
