US SOLAR FUND PLC (USF, the "Company")
Notice of 2021 Annual General Meeting ("AGM")
US Solar Fund plc (LON: USF (USD)/USFP (GBP)) is pleased to announce that the Notice of its 2021 AGM is now available to view on the Company's website at https://www.ussolarfund.co.uk/investor-centre/key-documents-and-disclosure.
The AGM will be held at 12.30 p.m. on Tuesday, 18 May 2021 at the offices of Herbert Smith Freehills LLP, Exchange House, Primrose Street, London, EC2A 2EG.
The formal Notice of AGM will be posted to those shareholders who have elected postal correspondence and in accordance with Listing Rule 9.6.1 copies of the documents have been submitted to the UK Listing Authority and will shortly be available for inspection from the National Storage Mechanism at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
Format of AGM
Given the risks posed by the Covid-19 pandemic, if government guidance at the time of the AGM precludes unnecessary travel and gatherings of more than a very limited number (which, at the date of this notice, is expected to be the case), the Company will have to impose entry restrictions on shareholder attendance at the AGM.
The Company's board of directors will continue to monitor Government guidance and will update shareholders on any changes to the below measures by way of an announcement to the London Stock Exchange and through the Company's website.
A presentation from the Investment Manager will be available on the Company's website by 10 May and shareholders are encouraged to submit questions by email to [email protected] by 14 May 2021. Answers to questions received will be published on the Company's website, in advance of the AGM.
The AGM itself will be webcast so that shareholders may follow the proceedings online, and listen to the Chair's address of the key themes arising out of any questions received in advance of the AGM, although Shareholders will not be able to speak or vote at the AGM and will not be counted in the quorum.
Full details of the measures implemented by the Company to allow for the orderly conduct of the AGM can be found in the Notice of AGM.
