Annual General Meeting - virtual only

The 2020 Annual General Meeting ("AGM") of the Company was scheduled to be held at at the offices of Jupiter Asset Management Limited ('Jupiter'), The Zig Zag Building, 70 Victoria Street, London SW1E 6SQ on Thursday, 19 November 2020 at 12.00 noon.

The Company advised in its Notice of AGM dated 13 October 2020 that in consideration of the wellbeing of the Company's shareholders and in light of UK Government guidance around social distancing, shareholders would not be permitted to attend this year's AGM in person. In order to comply with relevant statutory requirements, the Board of Directors advised that the AGM would be convened with the minimum necessary quorum to deal with the formal business of the meeting.

Shareholders may be aware that the UK Government recently announced a four week lockdown in England commencing on 5 November 2020. As a result, the AGM will no longer be held at the offices of Jupiter. In accordance with Section 3 of Schedule 14 of the Corporate Insolvency and Governance Act 2020 ("CIGA 2020"), the meeting will now be held by virtual means only. The Board has arranged for the required minimum quorum to conduct the formal business of the meeting by video conference. Shareholders should note that the AGM will continue to be held as a closed meeting.

Shareholders are encouraged to exercise their right to vote by lodging a Form of Proxy in advance of the AGM with the Company's Registrar, Link Asset Services.
