Proposed change of name to MelodyVR Group PLC

Appointment of Non-executive Director

EVR Holdings plc​ (AIM:EVRH), the leading creator of virtual reality entertainment content and operator of the MelodyVR platform advises that a Notice of Annual General Meeting ("AGM"), was yesterday posted to shareholders, such meeting to be held at 11.00 am on 11 May 2020.

Due to the uncertainty surrounding the COVID-19 pandemic, and in light of the most recent UK government guidance regarding social distancing, the Board has decided that in such exceptional circumstances, it would be in the interests of shareholders' safety that this year's AGM be attended electronically, further details are set out in the Company's Notice of AGM.

A copy of the notice has also been uploaded to the Company's website at www.evrholdings.com.

Proposed change of name to MelodyVR Group PLC

In order to align our corporate identity with that of our operating business, the Board has determined that the Company's name will be changed to MelodyVR Group PLC, conditional on Shareholders' approval at the AGM.

Under the Companies Act 2006 and the Company's Articles, a change of name requires the passing of a special resolution of Shareholders at a general meeting.

Shareholders' approval is being sought for this change of name by way of Resolution 4.

If Resolution 4 is approved, the change of name will be effective once Companies House has issued a new certificate on the change of name. The Company's TIDM will change to 'MVR'. The Company's ISIN and SEDOL number will remain unchanged and further announcements will be made in course.

Confirmation of Non-executive Director appointment

In addition, the Board is pleased to announce the appointment of William Grant Dollens (41) to the Board as Non-Executive Director of the Company with immediate effect, details of which were as set out in our release of 23 March 2020.
