IPSA Group PLC29 November 2006 29 November 2006 IPSA Group plc ("IPSA" or the "Company") Notice of Annual General Meeting ("AGM") The Directors of IPSA, the AIM and ALTx dual listed independent power plantdeveloper with operations in southern Africa, announce that the Company's firstAGM will be held at 2.00pm on 21 December 2006 at 5th Floor, Prince ConsortHouse, 27-29 Albert Embankment, London, United Kingdom, SE1 7TJ. A notice detailing the resolutions to be proposed at this AGM was posted toshareholders yesterday. The resolutions to be proposed at the AGM aresummarised below: • Ordinary resolutions to re-elect those directors who are due to retire from the Company by rotation; • An ordinary resolution to re-appoint Grant Thornton UK LLP as auditors of the Company; • An ordinary resolution to authorise the directors of the Company to allot relevant securities to an aggregate nominal amount of £400,000 pursuant to Section 80 of the UK Companies Act 1985 (the "Act"); and • A special resolution to empower the directors of the Company pursuant to Section 95 of the Act to allot equity securities for cash as if the pre-emption rights in Section 89 of the Act did not apply to such allotment provided that such power be limited to an aggregate nominal amount of £200,000. The Directors propose to hold an extraordinary general meeting in the firstquarter of 2007 at which the statutory audited accounts for the accountingperiod to 30 September 2006 will be presented to shareholders. The Directorsthereafter intend to hold the Company's AGM in the first quarter of eachcalendar year. A copy of the AGM notice will be available at the Company's registered officefor a period of one month from the date of posting.
