GVM Metals Ltd31 October 2007 GVM METALS LIMITED NOTICE OF ANNUAL GENERAL MEETING GVM Metals Limited ("Company" or "GVM") announces that it has posted its 2007Annual Report and Accounts to shareholders and that the Annual General Meetingwill be held at The Park Business Centre, 45 Ventnor Avenue, West Perth, WesternAustralia on Wednesday, 28 November 2007 at 10.00 am, for the purpose oftransacting the following business referred to in the Notice of Annual GeneralMeeting ("Notice"). ORDINARY BUSINESS Financial Reports To receive and consider the annual Financial Statements of the Company for theyear ended 30 June 2007 including the Directors' Report and the Auditor'sReport. Resolution 1 - Remuneration Report To consider and, if thought fit, to pass the following as a non-bindingresolution: "To adopt the Remuneration Report for the year ended 30 June 2007." Resolution 2: Re-election of Director - Mrs Nonkqubela Mazwai To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, Mrs Nonkqubela Mazwai, having been appointed as an additional director ofthe Company on 7 June 2007, who retires in accordance with clause 3.3 of theCompany's Constitution and, being eligible, offers herself for re-election, beelected as a director of the Company." Resolution 3: Re- election of Director - Mr Nchakha Moloi To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, Mr Nchakha Moloi, having been appointed as an additional director of theCompany on 7 June 2007, who retires in accordance with clause 3.3 of theCompany's Constitution and, being eligible, offers himself for re-election, beelected as a director of the Company." Resolution 4: Re- election of Director - Mr Stephen Bywater To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, Mr Stephen Bywater, having been appointed as an additional director ofthe Company on 8 February 2007, who retires in accordance with clause 3.3 of theCompany's Constitution and, being eligible, offers himself for re-election, beelected as a director of the Company." Resolution 5: Re- election of Director - Mr Graham Taggart To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, Mr Graham Taggart, having been appointed as an additional director of theCompany on 8 February 2007, who retires in accordance with clause 3.3 of theCompany's Constitution and, being eligible, offers himself for re-election, beelected as a director of the Company." Resolution 6: Re-election of Director - Mr Peter Cordin To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, Mr Peter Cordin, being a director of the Company who retires by rotationin accordance with the Company's Constitution and, being eligible, offershimself for re-election, be re-elected as a director of the Company." Resolution 7: Ratification of Issue of Shares and Options To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, for the purpose of Listing Rule 7.4 of the Listing Rules of the ASX andall other purposes, the Company ratifies the allotment and issue of 3,274 Shareson 21 May 2007, 250,000 Class A Options on 29 May 2007, 555,575 Class B Optionson 29 May 2007, 181,818 Shares on 5 June 2007, 11,250,000 Shares on 14 June 2007and 181,818 Shares on 6 July 2007, to the parties and on the terms andconditions set out in the Explanatory Statement that forms part of the Noticesent to Shareholders." Resolution 8: Issue of up to 13,333,333 Shares to be used in part satisfactionof the completion of the CoAL Acquisition To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, for the purposes of Listing Rule 7.1 of the Listing Rules of the ASX andall other purposes, the Company approves the allotment and issue of up to amaximum of 13,333,333 Shares at a deemed issue price of 30 pence per Share tothe parties and on the terms and conditions set out in the Explanatory Statementthat forms part of the Notice sent to Shareholders." Resolution 9: Change of Company Name To consider, and if thought fit, to pass the following resolution as a specialresolution: "That pursuant to section 157(3) of the Corporations Act, the name of theCompany be changed to "Coal of Africa Limited". Resolution 10: Issue of up to 50,000,000 Shares to raise further working capitalshould the Company require To consider and, if thought fit, to pass with or without amendment, thefollowing resolution as an ordinary resolution: "That, for the purpose of Listing Rule 7.1 of the Listing Rules of the ASX andall other purposes, the Company approves the allotment and issue of up to50,000,000 Shares at an issue price of not less than 80% of the average marketprice of the Company's Shares on the ASX over the last 5 days on which sales ofthe Shares are recorded before the date of issue (or if there is a prospectus oradmission document relating to the issue, over the last 5 days on which sales inthe Shares are recorded before the date of the prospectus or admission document)as more particularly described in the Explanatory Statement of the Notice sentto Shareholders." Other business To deal with any other business which may be brought forward in accordance withthe Constitution and the Corporations Act.
