NOTICE OF 2021 ANNUAL GENERAL MEETING

In accordance with Listing Rule 9.6.1, RHI Magnesita N.V. (LSE: RHIM) has submitted today the Notice of the 2021 Annual General Meeting (the "AGM Notice") to the National Storage Mechanism.

The COVID-19 situation in Europe and regulations governing meetings in the Netherlands continues to evolve. Given the successful virtual meeting in 2020, RHI Magnesita is enabling shareholders to attend and participate electronically again for 2021 and the AGM will be webcast. The health and safety of our shareholders and colleagues is our utmost priority and as such, attendance in person will not be encouraged. Shareholders are invited to submit questions in advance and will be able to attend the AGM via webcast. More details can be found in the explanatory notes to the AGM Notice.

Under the current Dutch regulations, the meeting is convened as a hybrid meeting from Hilton Amsterdam Airport Schiphol, Schiphol Boulevard 701, 1118 BN Schiphol, Netherlands/ via webcast on 10 June 2021 at 2 p.m. CET (1 p.m. BST). We will continue to monitor the advice issued by the Dutch Government in relation to COVID-19 and as such, may decide to hold an entirely virtual meeting, without the possibility of physical attendance. Any updates to these arrangements will be notified of via stock exchange announcements and details made available on our website.

The Company is taking these measures to make the AGM as safe and efficient as possible, safeguarding the health of shareholders, employees, and other participants, whilst enabling as much participation by shareholders as possible.
