INVITATION TO THE ORDINARY GENERAL ASSEMBLY MEETING
The Board of Directors of Arab Insurance Group (B.S.C.) is pleased to invitethe shareholders to attendits
34th Ordinary General AssemblyMeeting (AGM) at 11.30 a.m. on Monday, 23 March 2015, at Arig House, Building no. 131, Road no. 1702, Diplomatic Area 317, Manama, Kingdom of Bahrain, to consider, discuss and approve the following business agenda items:
1. Read and approvethe minutes of the previousOrdinary General AssemblyMeeting of the Company held on 25 March 2014.
2. To discussand approve the Board of Directors' Report for the financial year ended 31 December 2014.
3. To receivethe Report of the Auditorson the Consolidated Financial Statements for the year ended
31 December 2014.
4. To discuss and approve the audited Consolidated Financial Statements for the year ended
31 December 2014.
5. To approve the Board recommendations to appropriate from the net profit of the year ended
31 December 2014 as follows:
a. Transfer of US$ 1,561,500 to Legal Reserve;
b. Payment of dividend of 5 cent per shareor 5% of paid up capital amounting to US$ 9,901,609 for the year ended 31 December 2014 subject to approval of the Central Bank of Bahrain;
c. Transfer the amount of US$ 4,151,891 to Retained Earnings;
d. Approve the recommendation to pay remuneration to Directors amountingto US$ 305,000 for the year ended 31 December 2014 subject to approval of the Central Bank of Bahrain.
6. To discuss and approve the CorporateGovernance Report for the year 2014 and the complianceof the company with the requirements of the Central Bank of Bahrain.
7. To absolve the Directors from legal liability for the financial year ended 31 December 2014.
8. To appointor re-appoint Auditorsfor the year ending 31 December 2015 subject to the CentralBank of
Bahrain approval, and to authorize the Board of Directors to determine their remuneration.
9. Any other mattersthat may ariseaccording to Article207 of the Bahrain Commercial Companies Law.

Copies of the Consolidated FinancialStatements for the year ended 31 December2014 and the proxy forms will be available from Sunday, 15 March 2015 at Arig House, Diplomatic Area, Manama, Kingdom of Bahrain, and from Share Registrar in the Kingdom of Bahrain, Karvy Computershare W.L.L, Office No.74, 7th Floor, Al-ZamilTower, Building 31, Road 383, Block 305, P.O. 2. Any shareholder registered in the Company's ShareRegister on the date of the meeting,is entitled to attend the meeting or to appointa proxy to attend and vote on the shareholder's behalf.A proxy shall not be the Chairman, members of the Board of Directors or employees of the Company.
3. In case the shareholder is a legal entity, the person who will represent the shareholder should have a letter signed and stamped by the corporate, and to be presented before the due date.
4. Proxies must be registered with the Registrar, Karvy Computershare W.L.L, Office No.74, 7th Floor, Al-Zamil Tower, Building 31, Road 383, Block 305, P.O. In the absenceof a quorum for the AGM, a second meetingof AGM will be held at 11:30 a.m. on Tuesday, 31 March 2015 at Arig House, Diplomatic Area, Manama, Kingdomof Bahrain to discuss the same agenda, and in the absence of a quorum at the second meeting, a third meeting of AGM will be held at 11:30 a.m. on Tuesday, 7 April 2015 at the same venue to discuss the same agenda.
